The website knyamed.com (“Website/ Site”) along with all the retail stores is operated by Knya Enterprise Private Limited (“Knya” or “We” or “us” or “our” or “Company”), a company incorporated under the provisions of the Companies Act, 2013, having its registered office address at 212, 2nd Floor, Ready Money Terrace, Worli Naka, Mumbai, Maharashtra, 400018, India.

The Website provides an online platform for the sale of apparel, stethoscopes, accessories, and other products offered by the Company from time to time (collectively, the “Products”), intended for customers, including healthcare professionals and other individuals, through the Website and retail stores.

By accessing, browsing, or using the Site through a computer, mobile phone, or any other device (including, for example, an iOS or Android application), you (“you”, “user”, or “customer”) acknowledge, without limitation or qualification, that you have read, understood, and agree to be bound by these Terms of Use, regardless of the means of access. These Terms of Use govern your use of the Site and your conduct, together with our Privacy Policy, Shipping & Refund, Exchanges and Returns, and Warranty Registration (collectively, the “Policies”), each of which may be modified or amended from time to time.

This document is an electronic record generated by a computer system under applicable laws governing electronic records and transactions, and does not require any physical or digital signature. This document is published in accordance with applicable laws requiring publication of the rules and regulations, privacy policy, and Terms of Use for access to or usage of the Site.

Unless otherwise specified, all amendments to the Terms of Use and the Policies shall become effective immediately upon being posted on the Platform. Eligibility/ Your Account

Use of the Site is available only to persons who can form a legally binding contract under applicable laws. If you are a minor, you may use the Site and place Orders only with the involvement and consent of a parent or legal guardian. Knya does not knowingly collect personal information from minors independently of a parent or guardian. If you access or use the Platform on behalf of another individual or entity, you represent and warrant that you have the necessary authority to bind them to these Terms. If such authority is absent or disputed, you agree to assume responsibility for any consequences arising from such use.

You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities carried out through your account. You agree to provide accurate information and in case of any inaccurate information, you shall promptly rectify the same. You hereby acknowledge that any content or information submitted by you is non-confidential, non-proprietary, and does not infringe the rights of any third party.

If you become aware of, or suspect, any unauthorized access to or misuse of your account, you must notify us promptly using the contact details provided on the Platform. To protect the security of the Platform and its users, we may require you to reset your password or may temporarily or permanently suspend or restrict access to your account, where deemed necessary.

We reserve the right to refuse access to the Platform, suspend or terminate user accounts, or restrict services at our sole discretion, particularly where these Terms are violated or where such action is necessary to protect the legitimate interests of the Company or its users.

You remain solely responsible for all content, data, and communications submitted, uploaded, or transmitted through the Platform. Any personal information collected from you will be processed and maintained in accordance with our Privacy Policy.

Privacy Policy

We recognize the importance of protecting your personal information and have implemented a Privacy Policy to help ensure it is handled securely. In addition to these Terms of Use, your access to and use of the Site are also governed by the Privacy Policy. By continuing to use the Site, you confirm that you have read, understood, and accepted the Privacy Policy and agree to comply with its terms. You also consent to Knya collecting, using, and processing your personal information in accordance with the Privacy Policy.

Knya reserves the right to modify the Privacy Policy at any time at its sole discretion, and such changes will become effective as updated.

Product Information and Professional Use Disclaimer

We make reasonable efforts to ensure that Product descriptions, images, sizing charts, materials, colours, and specifications displayed on the Site are accurate. Product images are provided for illustrative purposes only, and the actual Product may differ slightly from the images displayed on the Site. There might be slight variations in colour, fabric texture, or fit which may occur due to photography, screen display settings, or manufacturing batch differences, and such minor variations shall not be treated as a defect.

Furthermore, sizing charts provided on the Site are indicative guides based on standard body measurements. We recommend reviewing the sizing chart on each product page carefully before ordering, as fit may vary by style and manufacturer.

All applicable charges, including delivery fees, convenience charges, taxes, or any other applicable fees, will be clearly disclosed during the checkout process before payment is completed. No additional or hidden charges will be imposed beyond those expressly displayed at the time of purchase.

Products such as stethoscopes and certain apparel are intended for use by, or under the guidance of, trained medical/healthcare personnel, or students enrolled in a recognised medical, nursing, or allied-health program. Nothing on the Site should be construed as encouraging use of these Products by unqualified persons for clinical purposes. These products are not intended to diagnose, treat, cure or prevent any disease unless expressly approved by applicable law.

Stethoscopes: Stethoscopes sold on the Site are instruments intended to assist, and not replace, the clinical judgment, training, and expertise of a qualified Healthcare Professional. Knya does not represent or warrant that any stethoscope or accessory is suitable for any specific diagnostic purpose, and Users are responsible for independently verifying that a Product meets the standards, calibration, and regulatory requirements applicable to their intended clinical use and institution. Nothing on the Site constitutes medical advice, and Products should not be used as a substitute for professional medical judgment, diagnosis, or treatment. Stethoscopes are subject to applicable drugs/medical device regulations in your jurisdiction, you agree to use such Product only in compliance with applicable law and any manufacturer instructions provided with the Product.

Breakpoint (Interactive Service)

You may also use our interactive service (“Interactive Service”), namely Breakpoint (24/7 Mental Health Helpline), through which you can speak with a trained mental health counsellor from Mpower, a mental health initiative of the Aditya Birla Education Trust. These Terms of Use also govern your use of the said Interactive Service. Accordingly, these Terms of Use apply to all products and services offered on the Platform, including the Interactive Service.

Knya’s role is limited to facilitating access to the Breakpoint (24/7 Mental Health Helpline) through the Platform, while all counselling services are provided independently by Mpower, a mental health initiative of the Aditya Birla Education Trust. Knya does not provide medical, psychological, psychiatric, or counselling services, and nothing available through the Interactive Service constitutes medical advice, diagnosis, or treatment, nor does its use create any doctor-patient, therapist-patient, counsellor-client, or similar professional relationship with Knya. The Interactive Service is not intended for medical or psychiatric emergencies, and users should immediately contact the appropriate emergency services or qualified healthcare providers in such situations. Knya does not guarantee the availability or uninterrupted access to the Interactive Service and shall not be responsible or liable for any counselling, advice, recommendations, acts, omissions, or decisions of Mpower or its counsellors.

Knya does not collect, access, or store any personal, identifiable, or sensitive information you share during any call or session with the Interactive Service, including the content of your conversations, mental health history, or counselling records. All such information is held solely by Mpower, in accordance with its own privacy and confidentiality practices; Knya may only receive limited, aggregated, and anonymised usage data (such as overall call volumes) for internal reporting.

By using the Interactive Service, you acknowledge that Mpower handles your personal and counselling-related information independently of Knya, and that Knya has no access to, or liability in connection with, any such information held by Mpower.

Orders and Formation of a Contract

Your placement of an Order constitutes an offer to purchase the Product(s) in your Order, subject to these Terms of Use. Upon placing an Order, you will receive an email and/or SMS acknowledging receipt of your Order (“Order Confirmation”). The Order Confirmation is only an acknowledgment of receipt and does not constitute acceptance of your offer. A binding contract of sale is formed only when the Product(s) ordered by you have been dispatched; until then, your offer will not be deemed accepted, and Knya will have the right to modify the price of the product/service and contact you for further instructions using the e-mail address/contact number provided by you at the time of registration or placing of the order, or to cancel the order and notify you of such cancellation.

Knya strives to ensure that all Product descriptions, pricing, and other information displayed on the Site are accurate; however, errors, inaccuracies, or technical issues may occasionally occur. Knya reserves the right, at its sole discretion, to refuse, modify, or cancel any Order placed for a Product that is incorrectly priced, inaccurately described, unavailable, affected by any technical error, or where such cancellation is necessary due to fraud detection, payment failure, government restrictions, inventory shortages or unavailability, bulk buying or, misuse of promotional offers, discounts, coupons, or any other promotional schemes, provided the Product has not already been dispatched or the relevant service has not been availed. Where appropriate, Knya may contact you for further instructions before processing the Order or notify you of its cancellation. Where payment has already been processed for a cancelled Order, the applicable amount will be refunded or reversed to your original payment method in accordance with the applicable payment processing timelines. Knya shall not be liable for any loss, damage, or compensation arising from Order cancellations, pricing errors, Product unavailability, payment failures, fraud prevention measures, government restrictions, misuse of promotions, inventory shortages, or delays in delivery beyond its reasonable control.

Pricing and Payment

All prices displayed on the Site are inclusive of applicable taxes (national and/ or international) and custom duties, unless stated otherwise. Shipping, handling, or customisation charges (such as embroidery or name engraving), where applicable, will be shown separately at checkout. If Knya accepts your order, the applicable amount will be charged or debited through your selected payment method, including but not limited to your credit card, debit card, UPI, net banking, or any other payment option made available on the Website. You will receive an email confirming that your payment has been successfully processed. Payment may be processed prior to the dispatch of the ordered product. If Knya cancels your order after the payment has been processed, the charged amount will be refunded to your original payment method.

We accept payment through the methods listed at checkout, which may include credit/debit cards, net banking, UPI, digital wallets, and cash/pay on delivery (COD). By providing payment information, you represent that you are authorised to use the chosen payment method.

In the event of any pricing error on the Site, we reserve the right to cancel the affected Order and refund any amount paid, even if the Order has been confirmed.

Shipping and Refund

Please refer to our Shipping and Refund Policies provided on our Site. Further it is pertinent to note that the estimated delivery dates are estimates only.

Warranty (Stethoscopes)

Stethoscopes sold on the Site may carry a manufacturer’s or Knya’s own limited warranty against manufacturing defects, as specified on the relevant product page, typically covering defects in tubing, chest-piece, and acoustic components for a stated period from the date of delivery. The availability of the warranty is subject to the customer providing valid proof of purchase and registering the Product within the prescribed timeline, in accordance with the instructions and requirements specified on the relevant product page. This warranty does not cover damage arising from normal wear and tear, misuse, unauthorised repair or modification, improper cleaning/disinfection, or accidental damage.

EXCEPT AS EXPRESSLY STATED ON A PRODUCT PAGE OR REQUIRED BY APPLICABLE LAW, PRODUCTS ARE SOLD WITHOUT ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Your Conduct

You must not use the Site in any way that causes, or is likely to cause, the Site or access to it to be interrupted, damaged, or impaired. You must use the Site only for lawful purposes, and must not use the Site to:

1. use any data mining, robots, scraping, or similar data-gathering or extraction tools on the Site;
2. introduce any virus, malware, or other harmful code to the Site.

Furthermore, you shall not attempt to gain unauthorised access to the Site or its systems through hacking, phishing, credential stuffing, or any other unlawful means. You shall not use bots, automated tools, or similar technologies to access or interact with the Site, nor shall you reverse engineer, decompile, or otherwise attempt to derive the source code of the Site. You shall not create fake accounts, submit false or misleading reviews, misuse coupons, discounts, or promotional offers, or purchase Products for unauthorised commercial resale, including reselling Products at discounted prices in a manner that adversely affects Knya’s business. Knya reserves the right to suspend or terminate your account and cancel any affected Orders for any such violation.

Any violation of applicable law by you may attract penalties or liability as prescribed under such law, and we reserve the right to disable access, remove content, cancel Orders, and/or terminate your account for any breach of this Clause.

You may be permitted to post product reviews, ratings, questions, or other content on the Site. Any content you submit must not be illegal, offensive, defamatory, misleading, or infringe any third party’s rights. By submitting content, you grant Knya a non-exclusive, royalty-free, worldwide, irrevocable licence to use, reproduce, adapt, publish, and display such content in connection with the Site and our marketing, and you represent that you own or control the rights necessary to grant this licence.

We reserve the right (but have no obligation) to remove, edit, or refuse to publish any content that we determine, in our sole discretion, violates these Terms of Use or applicable law.

Intellectual Property Rights

The “Knya” name, logo, and all related product and service names, designs, and marks (collectively, “Marks”) are the trademarks or service marks of Knya Enterprise Private Limited. All Content on the Site, including text, graphics, product photography, sizing charts, and software, is the property of Knya, its affiliates, or its licensors, and is protected by applicable copyright and intellectual property laws.

Subject to your compliance with these Terms of Use, we grant you a limited, revocable, non-transferable, non-exclusive licence to access and make personal use of the Site, but not to download (other than page caching), copy, reproduce, republish, or create derivative works from the Content, except for your personal, non-commercial use. No right, title, or interest in any Content or Marks is transferred to you.

You may not frame the Site, use meta tags incorporating our Marks, or create a hyperlink to the Site in a manner that is false, misleading, derogatory, or otherwise offensive, without our express written consent.

Availability of the Site and Force Majeure

We will use commercially reasonable efforts to ensure that the Site remains available and functions without interruption or error. However, we do not warrant or guarantee that access to the Site, or any content, features, or services made available through it, will be uninterrupted, timely, secure, error- free, or free from viruses or other harmful components. From time to time, access to the Site may be suspended, restricted, or interrupted, in whole or in part, without prior notice, for routine or emergency maintenance, upgrades, repairs, system failures, technical issues, or any other operational reasons.

We shall not be liable for any delay, interruption, suspension, or failure to perform any of our obligations under these Terms, including the processing, dispatch, or delivery of orders, where such delay or failure is caused by events or circumstances beyond our reasonable control (“Force Majeure Event”). Force Majeure Events include, but are not limited to, acts of God; floods, earthquakes, storms, lightning, fire, epidemics, pandemics, public health emergencies, or other natural disasters; war (whether declared or undeclared), armed conflict, invasion, terrorism, civil unrest, riots, or acts of public enemies; strikes, lockouts, labour disputes, or industrial disturbances; interruptions or failures of transportation, courier, logistics, government internet shutdown, payment gateway failure, cloud service outage, utilities, telecommunications, internet services, or other infrastructure; cyberattacks, hacking, malware, denial-of-service attacks, or other technological failures; shortages of materials or services; governmental actions, judicial or regulatory orders, sanctions, embargoes, changes in applicable law, or any other event beyond our reasonable control.

During the continuance of a Force Majeure Event, our obligations under these Terms shall be suspended to the extent affected by such event, and we shall be entitled to a reasonable extension of time to perform those obligations. We will use reasonable efforts to mitigate the impact of the Force Majeure Event and resume normal operations as soon as reasonably practicable.

Nothing in this clause shall limit or exclude any rights or remedies that cannot be excluded or limited under applicable law.

Disclaimer and Representation of Warranty

The Site, including all content, information, services, and Products made available through it, is provided on an “AS IS” and “AS AVAILABLE” basis. While we use reasonable efforts to ensure that the information on the Site, including product descriptions, pricing, and availability, is accurate and up to date, we do not warrant or represent that the Site, its content, or any Products or services offered through it will be uninterrupted, secure, error-free, complete, accurate, reliable, or free from viruses or other harmful components. To the fullest extent permitted by applicable law, Knya disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, or compatibility, except to the extent such warranties cannot be excluded under applicable law.

To the fullest extent permitted by applicable law, Knya, its holding company, subsidiaries, affiliates, partners, licensors, officers, directors, employees, and agents shall not be liable for any loss, damage, cost, or expense arising out of or in connection with your access to or use of, or inability to access or use, the Site, including but not limited to: (a) interruption, suspension, or unavailability of the Site; (b) delays or failures in accessing or using the Site; (c) loss, corruption, theft, destruction, misdelivery, or unauthorised alteration of data or information; (d) any inaccuracies, omissions, or errors in the content available on the Site; (e) any viruses, malware, system failures, technical malfunctions, or other harmful components affecting the Site or any linked third-party websites; (f) reliance on or use of third-party websites or external links; or (g) any event beyond Knya’s reasonable control, including any Force Majeure Event. We do not warrant that any defects or errors in the Site will be corrected.

To the maximum extent permitted by applicable law, Knya shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, or for any loss of profits, revenue, business opportunities, goodwill, anticipated savings, or data, whether arising in contract, tort (including negligence), strict liability, or otherwise, even if Knya has been advised of the possibility of such damages.

Subject to applicable law, Knya’s total aggregate liability arising out of or relating to any claim concerning the Site, these Terms, or any Order shall not exceed the total amount actually paid by you for the Product(s) giving rise to the relevant claim.

Any claim arising out of or relating to your use of the Site or these Terms must be commenced within one (1) year from the date on which the cause of action arose, to the extent permitted by applicable law. If you are dissatisfied with the Site or any part of these Terms, your sole remedy is to discontinue using the Site.

This disclaimer and Representation of Warranty constitute an essential basis of the agreement between you and Knya and form an integral part of these Terms.

Indemnity

You agree to defend, indemnify, and hold harmless Knya, its holding company, subsidiaries, affiliates, licensors, business partners, successors and assigns, and each of their respective directors, officers, employees, agents, representatives, and contractors (collectively, the “Indemnified Parties”) from and against any and all claims, actions, proceedings, demands, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees and expenses) arising out of or relating to:

1. your breach of these Terms of Use or any representation, warranty, undertaking, or obligation contained herein;
2. your violation of any applicable law, regulation, governmental order, or third-party right;
3. your misuse of the Site or any Product, including use of any Product for a purpose other than its intended use, or use of Products such as stethoscopes or other medical accessories by persons who are not qualified or authorised to use them;
4. any content, information, or material submitted, uploaded, transmitted, or otherwise made available by you through the Site;
5. your infringement or alleged infringement of any intellectual property, privacy, publicity, confidentiality, or other proprietary or legal rights of any third party;
6. any fraudulent, negligent, unlawful, or wilful act or omission by you;
7. your failure to make any payment, statutory dues, taxes, or other amounts payable by you under applicable law; or
8. any act or omission by you that results in any loss, damage, claim, or liability being suffered by Knya or any third party.

Knya reserves the right, at its own expense, to assume the exclusive defence and control of any matter that is subject to indemnification by you, and you agree to cooperate fully with Knya in the defence and settlement of any such matter. You shall not settle any claim that imposes any obligation or liability on Knya without Knya’s prior written consent. The indemnification obligations set out in this clause are in addition to any other rights or remedies available to Knya under applicable law or these Terms of Use and shall survive the suspension, expiration, or termination of your account or these Terms of Use.

Third-Party Services

The Site may integrate with or provide access to third-party services, including payment gateways, courier and logistics providers, Google services, Meta platforms, analytics providers, OTP service providers, maps, and other third-party tools or services. Such services are operated and controlled by their respective providers, and Knya does not own, control, endorse, or assume responsibility for their availability, functionality, content, security, or performance. Knya shall not be liable for any loss, damage, delay, or claim arising from your use of or reliance on any such third-party services.

Governing Law and Jurisdiction

These Terms of Use and all policies, notices, and other documents incorporated herein by reference shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute, controversy, claim, or difference arising out of or in connection with these Terms of Use, the Policies, your use of the Site, or any Order, including any question regarding their existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. If the parties fail to mutually appoint an arbitrator within the period prescribed under applicable law, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be conducted in the English language, and the seat and venue of arbitration shall be Mumbai, Maharashtra, India.

Subject to the arbitration provisions above, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over all matters arising out of or relating to these Terms of Use, including any proceedings relating to the appointment of an arbitrator, enforcement or challenge of an arbitral award, or any matter for which the courts have jurisdiction under applicable law. Notwithstanding the foregoing, Knya shall be entitled to seek and obtain any interim, ad interim, interlocutory, provisional, or injunctive relief, including orders for the protection or enforcement of its trademarks, copyrights, patents, trade secrets, confidential information, or other intellectual property rights, or to preserve the status quo pending arbitration, from any court of competent jurisdiction, and such proceedings shall not be deemed incompatible with or a waiver of the agreement to arbitrate.

For disputes relating to Orders placed from or fulfilled outside India, the provisions relating to international commercial arbitration under the Arbitration and Conciliation Act, 1996, as amended from time to time, shall apply, and the seat and venue of such arbitration shall be Mumbai, Maharashtra, India.

Miscellaneous

If any provision of these Terms of Use is determined by any court or other competent authority to be unlawful, invalid, illegal, void, or unenforceable, whether in whole or in part, such provision shall, to the extent of such invalidity or unenforceability, be deemed severed from these Terms of Use and shall not affect the validity, legality, or enforceability of the remaining provisions, all of which shall continue in full force and effect. The parties agree that any invalid or unenforceable provision shall, to the extent permitted by applicable law, be replaced by a valid and enforceable provision that most closely reflects the original intent and commercial purpose of the provision.

No failure, delay, omission, or partial exercise by Knya in exercising any right, power, remedy, or privilege under these Terms of Use shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise of that or any other right, power, or remedy. Any waiver by Knya of any provision of these Terms of Use shall be effective only if made expressly in writing and shall not constitute a continuing waiver or a waiver of any subsequent breach or default.

These Terms of Use, together with the Privacy Policy, Shipping and Refund, and Exchanges and Returns, and all other policies, guidelines, notices, and documents expressly incorporated by reference (collectively, the “Policies”), constitute the entire agreement between you and Knya with respect to your access to and use of the Site, the purchase of Products, and all related transactions. They supersede all prior or contemporaneous communications, negotiations, representations, understandings, agreements, and arrangements, whether oral or written, relating to the same subject matter.

You may not assign, transfer, novate, subcontract, or otherwise dispose of any of your rights or obligations under these Terms of Use without Knya’s prior written consent. Any attempted assignment or transfer in violation of this clause shall be null and void. Knya may, at its sole discretion and without requiring your consent, assign, transfer, novate, or otherwise deal with any or all of its rights and obligations under these Terms of Use, including in connection with any merger, acquisition, corporate restructuring, business transfer, sale of assets, or operation of law.

Nothing contained in these Terms of Use shall be construed as creating any partnership, joint venture, agency, fiduciary, employment, or franchise relationship between you and Knya. You acknowledge that you are accessing and using the Site solely as an independent user.

Any notices or communications required or permitted under these Terms of Use may be provided electronically, including by email, through your registered account, and such communication shall be deemed duly given in accordance with applicable law.

The headings used in these Terms of Use are included solely for convenience and shall not affect the interpretation or construction of any provision. References to the singular include the plural and vice versa, and references to any gender include all genders, where the context so requires.

By accessing or using the Site and/or placing an Order, you acknowledge that you have carefully read, understood, and agreed to be bound by these Terms of Use and the Policies, as amended from time to time. If you do not agree with these Terms of Use or any of the Policies, you must immediately discontinue your use of the Site.
